About Paul

Paul is a partner in our Corporate team and also heads up our Healthcare department at Berry Smith. His considerable experience in corporate law has led to him being acknowledged by Legal 500 as a Next Generation Partner, recognising the proficiency and extensive expertise that he offers his clients.

Specialist Areas –

Paul is experienced in all elements of corporate law, specialising in corporate finance and healthcare. He has particular expertise in:

• Mergers and acquisitions
• Partnership and Shareholders Agreements
• Equity Financing
• Business restructuring
• Share buybacks
• Banking and security arrangements

As head of the Healthcare department, within the wider Transaction and Business Services team, he has acted for a number of GP surgeries and dental practitioners throughout South Wales offering specialist advice on:

• GP Partnership Agreements
• Sale and Purchase of dental practices
• NHS Surgery mergers
• Professional Partnership Disputes

Experience:

Paul has extensive knowledge of the financial services sector and has acted for a number of key institutional lenders, such as HSBC and Development Bank of Wales, in relation to their secured lending. He has also been involved in a number of cross border transactions and was instructed by Geniusto International Ltd, an Australian company, in respect of its investment in GCP Software Ltd.

Paul has assisted clients on numerous high profile corporate transactions. He led the team in advising Enclave Networks Limited on its recent $1m fundraise by a number of overseas venture capital firms, securing an oversubscribed funding round in a tight timeframe.

Paul was the lead adviser on the £2.3m management buyout of Smoke Control Services Limited. He also provided expert advice on the sale of Watkin Davies Insurance Consultants Limited to fellow insurers, A-Plan Group and the sale of Taylor Francis Ltd. to GRP- owned County Group, displaying his aptitude for fast-paced corporate transactions.
In addition, Paul’s specialist knowledge of the Healthcare sector enabled him to act on behalf of Yourgene Health PLC, an international molecular diagnostics group, on their £9.2 million acquisition of UK-based Delta Diagnostics Ltd, creating opportunities to further develop and launch sector-leading health products, such as products for cystic fibrosis and pre-natal aneuploidy screening.
