Berry Smith is delighted to have acted as lead adviser to Cardo Group Limited in its successful acquisition of Heatcare Oil & Gas Holdings Limited. This strategic purchase marks a significant milestone in Cardo’s ongoing expansion and its commitment to delivering energy-efficient solutions for social housing and public buildings.
The deal follows a series of high-profile acquisitions by Cardo, including Tim O’Brien, A & N Lewis, Osborne Property Services, and Jefferies, with Berry Smith serving as lead adviser throughout.
This acquisition involved the purchase of the entire issued share capital of Heatcare from its founders, Darren McLeod and Calum McCombie. Over the years, the founders have established Heatcare as a trusted and dedicated provider of energy services in the North East of Scotland and beyond. This is expected to bring many benefits to Cardo, including enhanced operational efficiencies, expanded service capabilities, and a stronger presence in the energy sector.
Emma Borrington, Corporate Partner at Berry Smith, led the deal. Other key members of the team including Corporate Finance colleagues Jacob Sims and Edmund Anya, Commerical colleague, Mollie Eatwell and Employment colleagues Sarah Alford and Michael Shutt.
Liam Bevan, CEO of Cardo, commented: “This is our fifth acquisition since the inception of Cardo, with Berry Smith advising and supporting us on all of them. As usual, Emma and her team gave us the legal support we needed to complete the deal professionally and efficiently. They are always on the end of the phone when I need them and their responsiveness is really impressive.”
Emma Borrington, Partner at Berry Smith, commented: “We are thrilled to have advised and supported Cardo on this significant acquisition. It’s always a pleasure to work with the Cardo team and their other advisers. Exciting times lie ahead, and we look forward to continuing this journey with Cardo.”
